Terms of Service
Draft. This document is a draft under legal review and is not yet in effect. Placeholders in [brackets] will be filled in before launch.
These Terms of Service ("Terms") are an agreement between you, the merchant who installs the app ("you"), and [LEGAL ENTITY NAME], [ENTITY TYPE AND JURISDICTION], [ADDRESS] ("Civet", "we", "us"). They cover your use of the Civet Shopify app and related services (the "Service").
By installing or using Civet, you agree to these Terms. If you're using Civet for a business, you confirm that you're allowed to accept these Terms for it.
1. What Civet does
Civet uses AI to translate your Shopify store's content: product, collection, option, image alt text, metafield, and SEO fields. It writes the translations into Shopify's own translation storage through Shopify's Translations API. Civet does not add scripts, proxies, or theme code to your store.
Civet also offers previews before changes go live, undo for past runs, protection for translations you edit by hand, automatic updates when products change (on eligible plans), and a per-market SEO check.
2. Your Shopify account
- You need an active Shopify store, and you must follow Shopify's terms as well as these Terms.
- Civet works only on stores where you are the owner or are authorized to install apps.
- When you install Civet, you allow it to access the store data it needs to work, through the permissions shown on Shopify's install screen.
3. Plans, trials, and billing
- Billing through Shopify. All charges are billed by Shopify on your Shopify invoice, through Shopify's app billing system. We don't collect your payment details. Prices are in US dollars. Shopify may show and charge a converted amount in your local currency.
- Plans. The current plans and prices are shown on our Shopify App Store listing and on the Plans page in the app. At the time of writing they are Free, Starter ($29 every 30 days), and Growth ($79 every 30 days). Taxes may apply.
- Free trial. Paid plans include a 14-day free trial, one per store. During the trial, Civet translates up to 500 products. Once the first charge succeeds, your plan's full limits apply. If you cancel or uninstall before the trial ends, you won't be charged.
- Recurring charges. Paid plans renew automatically every 30 days until you change plans or uninstall.
- Upgrades and downgrades. You can change plans at any time from the Plans page, with no need to contact us. Shopify handles any proration or credits under its billing rules.
- Downgrades and limits. Translations Civet has already written stay in your store. After a downgrade, new translations and automatic updates cover only what your new plan includes, chosen in the priority order you set in Settings.
- Cancellation. Uninstalling Civet cancels your subscription, and Shopify stops billing. Charges already made are not refundable except where the law requires it or at our discretion.
- Price changes. We'll give you at least [30] days' notice in the app or by email before a price change affects you. Shopify may ask you to approve the new price.
4. Fair use and "unlimited"
Our Growth plan includes "unlimited" products (within fair use) and every language your store supports. Here is exactly what that means:
- Languages: all the languages your store has enabled. Shopify currently allows up to 20.
- Products: up to 50,000 products per store. There are no word counts, credits, or per-translation fees within that limit.
- Above 50,000 products: we'll offer a custom plan with a price based on your catalog size. We'll contact you before anything changes. We won't charge you more without your approval through Shopify.
- Reasonable use: "unlimited" covers normal store activity. That includes a full translation of your catalog when you start, and re-translation of content that actually changes. To keep flat pricing sustainable, each store has an internal monthly processing allowance that normal stores don't reach. If a store goes far beyond normal use (for example, repeatedly re-translating the whole catalog, or automated changes that rewrite thousands of products every day), automatic updates may pause and we'll contact you to work it out. We will never charge you extra fees for this without your approval through Shopify.
- Starter and Free have the product and language limits shown on their plans.
5. AI translations: please review before publishing
- Civet uses AI models, including models provided by Anthropic, to produce translations. AI output can be wrong, incomplete, awkward, or unsuitable, including for product safety information, sizing, legal or regulatory text, medical or ingredient claims, and brand names.
- You're responsible for reviewing translations before you publish them and for the content your store shows to customers. Civet gives you previews, a review list of flagged items, edit protection, and undo to help, but these don't replace your review.
- Civet does not guarantee any search ranking, traffic, conversion, or sales outcome. The SEO check reports what it finds and suggests fixes. It doesn't promise results from search engines.
- You're responsible for making sure your source content and glossary don't infringe anyone's rights or break any law. You also need any rights required to have that content translated.
- Don't use Civet to create content that is illegal, deceptive, or harmful.
6. Your content
- You own your content, including your source text and the translations Civet creates for your store. To the extent we have any rights in the translations, we assign them to you.
- You give us a limited permission to process your content only to provide, secure, and support the Service. That includes sending it to our AI and hosting providers, as described in our Privacy Policy.
- We don't use your content to train AI models, and our AI provider's commercial terms don't allow it to train on our API data.
- Translations written into Shopify are stored by Shopify, so they stay in your store if you uninstall Civet. Civet's own copies (previews, run history, undo snapshots, translation memory) are deleted as described in the Privacy Policy. Undo is not available after you uninstall.
7. Undo and history
- You can undo a run during the undo window shown in the app (currently 30 days on Free and 90 days on paid plans). Undo restores the translations Civet replaced. It doesn't change content that was edited again after the run.
- Undo and history are a convenience, not a backup service. Keep your own backups of important content. Shopify's product export is one way to do this.
8. Acceptable use
You agree not to:
- reverse engineer, overload, or interfere with the Service, or get around plan limits or fair-use controls
- use the Service for another store without installing it there, or resell it
- use the Service in a way that breaks Shopify's terms or the law
- try to get at other merchants' data
We may suspend the Service for a store that does these things, after notice where reasonable.
9. Availability and changes
- We work to keep Civet available, but we don't promise uninterrupted service. Shopify, our AI provider, or our hosting provider may have outages that affect Civet.
- We may change or remove features. If a change materially reduces what your paid plan includes, we'll give you notice, and you can cancel.
- Support is by email at [SUPPORT EMAIL]. We aim to reply within [2 business days]. This is a target, not a guarantee.
10. Disclaimers
Except as stated in these Terms, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement, to the extent the law allows.
11. Limitation of liability
To the extent the law allows:
- We aren't liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill.
- Our total liability for any claim related to the Service is limited to the amount you paid us for the Service in the 12 months before the claim (or USD $[50] if you paid nothing).
- These limits don't apply where the law doesn't allow them.
12. Indemnity
You'll defend and indemnify us against third-party claims arising from your store's content, including content you published after it was translated, or from your breach of these Terms.
13. Ending the agreement
- You can stop at any time by uninstalling Civet.
- We can end or suspend your access for a material breach of these Terms, or if Shopify requires it. Where reasonable, we'll give notice and a chance to fix the problem first.
- Sections 5, 6, 10, 11, 12, and 14 survive termination.
14. General
- Governing law: [STATE/COUNTRY]. Venue: [COURTS].
- Changes to these Terms: we'll post updates with a new "Last updated" date and give notice in the app or by email for material changes. If you keep using Civet after the change takes effect, you accept the new Terms.
- Shopify: Shopify is not a party to these Terms and isn't responsible for Civet. Your use of Shopify is governed by Shopify's terms.
- Entire agreement: these Terms and our Privacy Policy are the whole agreement between us about the Service.
